Minutes of the General Meeting of private limited liability company DBS2 Factoring B.V., with its registered office in Katwijk, held on January 27, 2022 at the company's offices.

DBS2 Factoring B.V. has sold bonds to the (online) NPEX Trading Platform. We refer to the prospectus from DBS2 Factoring B.V., with the date of November 14, 2017, hereinafter referred to as: loan.
After many years of listing on NPEX, the board of DBS2 Factoring B.V. decided to repay the bond loan early. The business activities of DBS2 Factoring B.V. change and there is therefore room to repay as of March 1, 2022. The penalty interest will also be paid in accordance with the prospectus of November 14, 2017. We would like to expressly thank the bondholders and NPEX for their confidence.
Thus agreed in Katwijk on January 31, 2022.
